1.) OPEN THE BUSINESS REGISTRATION PORTAL

5.) FILL IN THE NOTICE OF RESIDENTIAL ADDRESS FORM CR8

The Notice of Residential Address form CR8 is a form that establishes the company directors’ residential addresses. This is supposed to let the government know where you stay in case of anything with the company.

The CR8 must be up to date and anytime a director changes his or her domicile, they are supposed to file for change of director residential address. To fill in this form, you will need to indicate the below;
1. Name of Company Director
2. Residential address/new residential address of the Company director
3. Residence, Locality, District, County of Business
4. Address of person lodging the notice
5. Telephone of the person lodging the notice
6. Email of the person lodging the notice
7. Signature of the person lodging the notice
9. Capacity of the person lodging the notice and date

A new notice of change of residence should be filed in case any of the directors change their residences.

6.) FILL IN THE STATEMENT OF NOMINAL CAPITAL FORM

The statement of Nominal capital form is derived from the stamp duty act cap (480) section 39 and schedule, article 8). This is the duty payable against the nominal capital shares of the company. This statement of nominal capital is to be filled with the memorandum of association when the company is registered.

In this section, you need to indicate the total number of shares issued and the value of each share at the start of the company. The nominal capital of the entire company will then be a product of the number of shares issues times the value of each share. It is the total value or nominal capital that is used to calculate the stamp duty.

The amount of Stamp duty payable is calculated at the rate of shillings 20/= for every KES 2,000 in nominal capital held by the company. That is total nominal capital divided by 2,000 and multiplied by 20. It is worthwhile to note that sectors are exempt from stamp duty.

The nominal capital page should also be signed by the person filling in the form and his or her designation in the company indicated.

7.) FILL IN THE REGISTER OF COMPANY BENEFICIARY OWNERS FORM

The register of Company Beneficiary Owners form is intended to identify the beneficiaries of each company in accordance with section 93A of the companies Act 2015. In this form you will fill in the following details of the company beneficiaries;

  1. Full name of each Company Beneficiary
  2. ID Card or Passport Number of company Director
  3. Personal Identification Number of directors
  4. Nationality of shareholders
  5. Date of Birth
  6. Residential Address of shareholders

8.) PRINT THE CR1, CR2, CR8, NOMINAL CAPITAL AND BO FORMS

You have now filled in all the different application forms required to apply for a limited company in Kenya. Since all these forms require a physical signature, you will need to print all the 5 forms in clear print. Make sure you print in white paper for easier legibility.

9.) SIGN ALL THE FORMS

Sign all the forms in blue or black pen. Don’t photocopy the signed copies. 11.) MAKE PAYMENT BY MPESA PAYBILL

You can now make payment for your application by mobile money called Mpesa. Your application will generate a special and unique reference number that you will use to pay by paybill to Mpesa. The amount required to register a limited company in Kenya will be indicated on this page.

7 Types of Companies You Can Register In Kenya

To start any business in Kenya, you need to register your company with the Kenya registrar of companies. Registration with Kenya Revenue Authority PIN number is also needed for tax returns. There are several types of business entities that you can register to do business in Kenya.

1. BUSINESS NAME

This is the simplest form of business entity that you can register in Kenya. Business name is a sole proprietorship where you and the business are one and the same. This simple form of business structure assumes that the business and its owner share the liabilities of the business. For example, your personal tax returns are also considered your business tax returns. So there is basically no distinction between your business and your person.

In this model, the proprietor and the business are one and the same. This is as opposed to a limited company for example, which is a different entity from the shareholders. Registering a business name is the fastest way to get business running and the process usually takes 1 day. You will need to submit 3 possible names in order of priority. 2. PARTNERSHIP

A business partnership requires a maximum of 20 directors to register the partnership business in Kenya. Any numbers higher than this and the company must be registered under the companies Act of 2015. A partnership is registered as a business entity between 2 or more directors where each holds equal liability to the business.

The partnership may be formed under any form of agreement by the partners. The agreement must be in writing. The partnership may have to register a business name under the business names act if the partners are not using one of their own names for the business.

Once formed, the partnership is required to fill and submit the statement of particulars form to have it registered. Your partnership will then get a certificate of registration from the registrar general.

In a partnership, the company liabilities are also liabilities to the partners and there is no distinction between the owners and the business entity. However, you can register as a limited liability partnership to separate the director’s liability from the partnership.

You may decide to form a limited liability partnership under the limited liability act, 2011. A limited liability partnership (LLP) is a partnership in which some or all of the partners have limited liabilities. In some instances, a partnership can look like a corporation. In an LLP no partner is liable to the conduct of the other partner.

3. PRIVATE LIMITED COMPANY

This is a form of limited liability company LLC which considers the shareholders as separate entities to the company. In limited company by shares, the registrar treats the company as a separate entity, to which the subscribers get issued shares depending on the memorandum of association between them. In this case, each shareholder takes out shares (or is issued with shares) in the company and becomes a shareholder of xyz number of shares.

A private limited company can be registered under a sole director or as many as desired. It is therefore possible to register a limited company in Kenya with a single director or shareholder. A Private limited company cannot therefore issue shares to the general public and neither can it be listed in the Nairobi stock exchange. Such a move would need approval from the Capital Markets Authority and an issuance of an IPO (Initial Public Offer) would be declared to allow the public to buy into the company shares.

4. COMPANY LIMITED BY GUARANTEE

A company limited by guarantee or CLG is an entity registered as a nonprofit organization. This means that the directors cannot draw profits from the income earned by the company. This type of company is primarily used for not-for-profit organizations like NGOs.

The directors in this CLG companies must undergo vetting by the National Security and Intelligence Services NSIS before the company can be registered.

5. PUBLIC LIMITED COMPANY (PLC)

A public limited company is a business entity that allows the general public to buy, or transfer shares even to non-members of that company. AA public limited company is an entity therefore, that allows its shares to be freely sold and traded to the public. All of the companies listed in the Nairobi Stock Exchange NSE are PLCs.

The buyers of the shares or stock have limited liability. This means that they cannot be held responsible for any business losses. The PLC is similar to the public companies in the USA known as incorporations or Inc. 6. FOREIGN COMPANY BRANCH OFFICE

A foreign company is referred to as a company that is registered in another country outside Kenya and under the laws of that country. Companies that are registered outside Kenya are allowed to do business in Kenya by registering a local branch in Kenya.

In some cases, a parent company located in a second country wishes to start business in Kenya and retain their identity. In this case, such a company can register a local branch in Kenya using their parent company name in the country of origin. This means that you will have to provide all registration documentation from the home country and also a letter of no objection to the use of the name locally.

The mother company carries on the liabilities of the branch in Kenya. It is not required to have a local board either and the registration process for a branch is straight forward and takes a shorter time.

Choosing a name for your business may seem like a very straight forward issue. However, your company name creates the first impression of what your company is all about. It is therefore important to take your time and consider various options in naming your company. There are several ways of going about naming your company depending on your preferences. It’s however important to consider the fact that, you are not naming your company for yourself only but most importantly for your clients.

This is possible through the e-citizen portal which offers more government services like driving license renewal, e-visa application, passport application and renewal, vehicle registration, and even some county government services. This has removed the need to go and queue for hours at the registration office and also made the whole process faster and easier.

You will need to open an e-citizen account through which to access the business registration services portal. All your other services like passport renewal, driving license renewal, vehicle registration can now be done one e-citizen account. To open an e-citizen account, you need to have the following requirements.

1. ID Card copy
2. Valid Email Address
3. Working mobile telephone number
4. A stable internet connection

5. FILL IN THE BUSINESS NAME /COMPANY REGISTRATION FORMS

The next step is to fill in the business registration form CR1. This is the main form that collects the particulars of the type of company that you wish to register. You will need to fill in the nature of your business as general supplies or general trading.

The system has a list of categories for different types of companies. You will need to select the main classification of your business, followed by the exact category and sector of the general supply company. The system provides you with a drop down list at each stage so that you can choose the correct category and identify the nature of your business. You also have a section where you can write other services offered by your company.

6. APPLY FOR A COMPANY PIN NUMBER FROM I-TAX

After you get the general supply company certificate of incorporation, you will also find a CR12 form which is a summary of all the newly incorporated company details. Your company is now registered under the company Act 2015.

Your certificate of incorporation will include 4 very important things including:

  1. A special incorporation number for your company
  2. The name of your new company
  3. Date of incorporation
  4. Signature of the registrar

You can now apply for a company PIN from i-tax portal of the Kenya Revenue authority. You will need to provide the certificate of incorporation, your personal PIN number and copy of ID card. You will be liable to pay an corporation tax of 30% every year and a dividend tax of 5% every year. You can make returns and apply for issuance of a certificate of compliance from KRA.

Foreign companies with a branch in Kenya will pay 37.5% corporation tax. You will use your new company PIN number to file your taxes with the Kenya revenue authority.

7. OPEN A BUSINESS BANK ACCOUNT

It’s now time to open a bank account with any of the local banks. It is good to consider each bank in regards to what products they offer for general supply companies. Some banks are able to give you guarantees for big tenders while others are able to advance you huge loans on the basis of a local purchase order or letter of tender award.

Having a good bank can make the difference between your company being able to supply a big tender or not. Its good to go with a bank that seems to have flexibility when it comes to their variety of credit facilities to general supplies businesses.

8. REGISTER WITH AGPO IF YOUR COMPANY QUALIFIES

If your new company directorship is 70% owned by youth, women or persons with disability, you are entitled to register with the new government public procurement system. The AGPO or Access to Government Procurement Opportunities reserves atleast 30% of the tender awards to youth, women and PWDs.

If your new general supplies company qualifies for AGPO, then its to your advantage to apply for listing. It helps a great deal to have atleast 30% procurement opportunities reserved for such a group and makes it easier to win a tender.

​9. OPEN A SMALL OFFICE IN A CONVENIENT LOCATION

You now have the basic structure of a general supplies company and what you now need is a small office for your company. The more tenders you apply for, which your company is qualified for, the higher the chances you have of winning more awards in a single year. So try and be very active in seeking out these tenders and apply to as many as possible.
