Finance Infrastructure Through Blockchain Based Tokenization

The infrastructure finance gap has long-standing implications for economic and social development. Owing to low efficiency, high transaction costs, and long transaction time, conventional infrastructure financing instruments are considered to be major contributors to the increasing mismatch between the need for infrastructure development and available financing.

Implemented through smart contracts, Blockchain & Tokenization has shown characteristics that are poised to change the capital stack of infrastructure investment. This study analyzed the first SEC-compliant energy asset security token, Ziyen-Coin, from the perspective of the key participants, relevant regulations, and token offering procedures.

Results show that tokenization can improve infrastructure assets liquidity, transaction efficiency, and transparency across intermediaries. Conventional infrastructure financing instruments were compared with blockchain tokenization by reviewing the literature on infrastructure finance. The benefits and barriers of tokenizing infrastructure assets were thoroughly discussed to devise ways of improving infrastructure financing.

The study also found that the potential of tokenization has not yet been fully realized because of the limited technical infrastructures, regulation uncertainties, volatilities in the token market, and absence of the public sector. This study contributes to the present understanding of how blockchain technology can be implemented in infrastructure finance and the role of tokenization in the structure of public–private partnership and project finance.

Having a microchip implanted will hurt my pet.

FICTION:

No anesthetic is required for a microchip implant. The procedure is performed at your veterinarian’s office and is simple and similar to administering a vaccine or a routine shot.

The microchip comes preloaded in a sterile applicator and is injected under the loose skin between the shoulder blades. The process takes only a few seconds, and your pet will not react any more than he would to a vaccination.

FACT:

Pet microchips work like global positioning devices (GPS) and tell me my pet’s location.

FICTION:

Pet microchips are not tracking devices. They are radio-frequency identification (RFID) implants that provide permanent ID for your pet.

Because they use RFID technology, microchips do not require a power source like a GPS. When a microchip scanner is passed over the pet, the microchip gets enough power from the scanner to transmit the microchip’s ID number. Since there’s no battery and no moving parts, there’s nothing to keep charged, wear out, or replace. The microchip will last your pet’s lifetime.

FACT:

My pet wears a collar with tags, so he doesn’t need a microchip.

FICTION:

All pets should wear collar tags imprinted with their name and the phone number of their owner, but only a microchip provides permanent ID that cannot fall off, be removed, or become impossible to read.

FICTION:

The average cost to have a microchip implanted by a veterinarian is around $45, which is a one–time fee and often includes registration in a pet recovery database.

If your pet was adopted from a shelter or purchased from a breeder, your pet may already have a microchip. Consult your pet adoption paperwork, or have your pet scanned for a microchip at your next vet visit to reveal the unique microchip ID number and register it.

Only dogs, not cats, need to be microchipped.

Both cats and dogs need to be microchipped.

In the final segment of his interview with Frankie Boyer, the topic turns to how to avoid getting ripped off by shady appraiser or restoration specialists. Also Scott gives examples of protecting valuables from natural disasters and finding the right person for fixing broken china or restoration of an art piece.

As a kid growing up, Scott was always interested in science and the arts. That stayed with him hethrough college. When I was about to get my bachelor’s degree, his art history program chair asked him if he had ever considered “art conservation” for graduate work. IHehad never even heard of it. Turns out, it was the perfect marriage of his two main interests: “The application of science to the preservation and restoration of art.”

Scott’s Formal Training:

Most industrialized nations of the world have formal art conservation programs (Scott is not talking about private restoration schools, trade schools or apprentice programs) where something comparable to a Masters Degree in the US can be obtained. The waiting lists to get into these university or government programs are usually long and reapplication is required for years. But, the stars aligned and he was admitted after my first application to the conservation center in Lombardy, Italy – a satellite program affiliated with the National Center in Rome (ICR).

The first week of classes, he was on scaffolding looking and getting instruction for working on an affresco dated 1365. With a big smile he pinched myself and said, “This is great!” He appreciated the experience knowing that other art conservation students around the world were going to have limited hands on experience, especially the two year. And here he was, already in the thick of things from the “get go.” He was not disappointed with his choice over the years. During his three year program, he worked on numerous Renaissance to Baroque affrescos in ancient abbeys, libraries and churches. He also worked on many small and very large canvases. We worked on-site and in the state of the art laboratories of the conservation center.

The modern scientific art conservation facility was in a converted 800 year old monastery across the valley from a northern Italian marble quarry outside of Brescia, next to Garda Lake.

He got instruction from seasoned professionals who had worked around the world on UNESCO projects (on murals in temples in Burma and in the tombs of Egypt) and who were well informed on international current standards of practice, and techniques especially after working with the international community in response to the devastating Florence Flood of 1966 (9 years earlier). The conservation center’s professors and teachers came up from Rome and Scott’s class went to Rome often to interact with the Istituto Centrale Del Restauro.

He graduated from the formal Italian government 3 year painting/mural conservation and restoration program in mid 1978.

As you can see, art conservation and restoration has specializations in the profession. Scott works on paintings; Paintings on walls (murals), paintings on canvas (easel paintings) and art on paper. I don’t work on books, furniture, stained glass windows, old cowboy boots, antique cars, ancient documents, mummies… just paintings. Recently, in U.S. v. Sanofi U.S. Services Inc.,[1] the U.S. District Court for the Eastern District of Pennsylvania interpreted the U.S. Supreme Court’s ruling on materiality in Universal Health Services Inc. v. Escobar.[2]

In the process, the ruling highlighted a puzzling aspect of the Escobar ruling in which the high court discussed the relationship between an express condition of payment and materiality, and concluded that the former is not conclusive as to the latter.

In Escobar, the Supreme Court affirmed the validity of an implied false certification theory under the False Claims Act Lawyers by holding that there may be liability under the statute when a claim for payment makes specific representations about the goods or services provided, but does not disclose the claimant’s noncompliance with a material statutory, regulatory or contractual requirement that renders those representations misleading half-truths.[3]

Justice Clarence Thomas, writing for the court, clarified that such noncompliance “must be material to the Government’s payment decision in order to be actionable under the False Claims Act.”[4]

The concept of materiality as articulated in Escobar has been the subject of much analysis in ensuing judicial opinions. Escobar engaged in an extended discussion of the materiality requirement and how it should be enforced in False Claims Act Lawyers New York City cases.

Specifically, Justice Thomas wrote that while it is not necessary that an undisclosed “violation of a contractual, statutory, or regulatory provision” be “expressly designated a condition of payment” in order to trigger liability under the False Claims Act, neither is such a designation determinative, and that “[w]hether a provision is labeled a condition of payment is relevant to but not dispositive of the materiality inquiry.”[5]

The opinion continues:

A misrepresentation cannot be deemed material merely because the Government designates compliance with a particular statutory, regulatory, or contractual requirement as a condition of payment. Nor is it sufficient for a finding of materiality that the Government would have the option to decline to pay if it knew of the defendant’s noncompliance. Materiality, in addition, cannot be found where noncompliance is minor or insubstantial.      

In sum, when evaluating materiality under the False Claims Act, the Government’s decision to expressly identify a provision as a condition of payment is relevant, but not automatically dispositive. Likewise, proof of materiality can include, but is not necessarily limited to, evidence that the defendant knows that the Government consistently refuses to pay claims in the mine run of cases based on noncompliance with the particular statutory, regulatory, or contractual requirement. Conversely, if the Government pays a particular claim in full despite its actual knowledge that certain requirements were violated, that is very strong evidence that those requirements are not material. Or, if the Government regularly pays a particular type of claim in full despite actual knowledge that certain requirements were violated, and has signaled no change in position, that is strong evidence that the requirements are not material.[6]

This discussion has been interpreted by lower courts as requiring a holistic approach to the issue of materiality in which one considers multiple nonexclusive and nondispositive factors, including whether a requirement is denominated a condition of payment, whether the violation is minor or insubstantial and whether the government pays claims despite knowing of a violation.[7]

As analyzed in Escobar, materiality under the False Claims Act can be proven or disproven by how the government behaves in handling claims with full knowledge of a claimant’s noncompliance, irrespective of whether the government has designated a particular requirement a condition of payment which, again, is not dispositive.

In Sanofi, the court applied this concept of materiality in a False Claims Act case involving alleged kickbacks to induce the prescription of a cancer drug. In its ruling denying summary judgment, the court discussed the Escobar materiality standard.

Using a hypothetical referenced in the Escobar decision, the court explained:

[I]f Congress passed a law that government contractors could not be paid unless they only used American-made staplers, and a given contractor failed to disclose that its office used a single Canadian-made stapler, that may well satisfy the “legal falsity” requirement. But the violation may fail the “materiality” requirement if it was so insubstantial that the government would have paid the contractor even if it knew of the violation.[8]

Certainly, the court’s conclusion in Sanofi that designation of a condition of payment by Congress is not dispositive on the issue of materiality would seem to follow logically from the Supreme Court’s ruling in Escobar that “[a] misrepresentation cannot be deemed material merely because the Government designates compliance with a particular statutory, regulatory, or contractual requirement as a condition of payment.”[9]

And yet, there is much to question here. Presumably, the part of the government that is paying the claims is an executive branch agency, but if Congress — another part of the government — designates a requirement a condition of payment, no agency may override that decision. Arguably, this makes the condition material as a matter of law.[10]

When the Supreme Court held in Escobar that, to be actionable under the False Claims Act, an instance of noncompliance must be material to the government’s payment decision, surely it did not mean that any executive branch agency may unilaterally dictate what is material to such a payment decision by taking unlawful action contrary to a statutory mandate imposed by Congress.

In that regard, Congress is the final say on whether a condition of payment is minor or insubstantial.

That being so, nothing an agency may do in choosing to pay claims despite full knowledge of noncompliance with a statutory condition of payment should render such a violation immaterial to the government’s payment decision.

Likewise, it is fair to question whether an agency that expressly designates a requirement as a condition of payment in its own regulations may ignore those regulations in paying claims notwithstanding knowledge that such condition has not been satisfied, Moreover, it is fair to question whether doing so renders compliance with that regulation immaterial to the government’s payment decision.[11]

While an agency may sometimes waive its own regulations, that is the exception rather than the rule.[12] Any waiver presumably needs to be a result of deliberate agency action rather than mere inadvertence or the consequence of agency personnel without waiver authority paying claims in violation of agency regulations.

The Supreme Court’s conclusion in Escobar that “the Government’s decision to expressly identify a provision as a condition of payment is relevant, but not automatically dispositive” thus is difficult to square with basic principles governing and limiting agency action.

Why is the express designation of a provision as a condition of payment not dispositive? Arguably, it must be dispositive where it is Congress making the designation by statute, and also where it is the agency paying the claims that makes the designation by regulation, at least when there is no evidence that the agency has otherwise validly waived its own regulatory condition.

It is not as though the Supreme Court has not recognized the concept of materiality as a matter of law. In the securities fraud context, the High Court has noted:

[Where] established omissions are so obviously important to an investor, that reasonable minds cannot differ on the question of materiality … the ultimate issue of materiality appropriately [may be] resolved as a matter of law by summary judgment.[13]

Even in the Escobar decision itself, the court did “not foreclose the possibility that a statutory requirement may be so central to the functioning of a government program that noncompliance is material as a matter of law.”[14]

The question then is why Escobar treated express conditions of payment as relevant, but not automatically dispositive on the issue of materiality, without also addressing well-worn legal principles limiting agency action in violation of statutory and regulatory mandates. It will be interesting to see how case law under the False Claims Act continues to evolve in this area and whether more courts will be required to grapple with this particular aspect of Escobar’s ruling on materiality.

Creditors should be aware to file a timely Notice of Payment Change if loan payments due are modified under Bankruptcy Rule 3002.1. If a debtor is paying mortgage payments directly to the creditor, Chapter 13 creditors will need to work directly with debtors to agree upon a loan modification, forbearance, or deferment.
Borrowers who have been affected by COVID-19 with federally-backed mortgage loans can request a forbearance from mortgage payments for up to 180 days. The CARES Act also provides protection for tenants from eviction if the owner applies for a forbearance.

No one wants to file for bankruptcy. But if you’re one of the millions laid off because of the coronavirus pandemic, it might make sense to file for bankruptcy—especially if you’re struggling with debt.

The main goal of filing for Chapter 7 bankruptcy is to discharge debts. A discharge releases individual debtors from personal liability for the debt and prevents that creditor from taking any collection actions against the debtor.

Although a debtor is not personally liable for discharged debts, a valid lien in the bankruptcy case can still remain. Therefore, a creditor may enforce the lien to recover the property. For example, the discharge will wipe out your obligation to pay your car loan, but the lender will use its lien rights to repossess the vehicle and you will not get to keep the car. Keep in mind, during a Chapter 7 bankruptcy, you will have to give up luxury items, such as a vacation home, an expensive diamond necklace, or a valuable coin collection in exchange for a debt discharge.

In most cases, Chapter 7 bankruptcy filers automatically receive a discharge at the end of their case and the court usually grants the discharge 60 days after the 341(a) Meeting of creditors. At the end of your case, the bankruptcy court will discharge all qualifying pre-petition debt, such as credit card balances, personal loans, and medical debt that arose before the date of filing for Chapter 7. With Brigadier General Chuck Yeager’s passing on Pearl Harbor Day, Dec. 7th last week, a flood of memories of my childhood years came back as I remembered the fascination with the flights to breach the atmosphere with the X-15, the space race and subsequent moon race. Yeager’s critical breaking of the sound barrier in 1947 and in later years his pioneering efforts and influence on the US space industry made him a hero and as NASA Administrator Jim Bridenstine called his death “a tremendous loss to our nation.”

With such a lofty reputation you can imagine my surprise and pleasure when I found out he had acknowledged the importance of and weighed in on a historic preservation project I consulted on at Edwards Airfare base.

But my visit to Edwards Air Force Base was a bit different… they had a Flyer’s Wall in the Officer’s Club on base with signatures of many great and notable pilots including Amelia Earhart. Major Hutchison, who had solicited my services, was very interested in preserving the historical signatures on the wall as we chatted and made plans. Her testimonial was very kind, “Mr. Haskins, B. Gen Chuck Yeager was here last week and we told him about your wonderful help with the signature wall in P-1. He was enthusiastic, supportive and grateful for your expertise.”  Shortly thereafter, the above wonderful gesture by her and Brig Gen Yeager’s part arrived in the mail, which I was thrilled to receive! I consider Brigadier General Chuck Yeager’s breaking of the sound barrier a major technological and heroic event.

Chuck Yeager, a former U.S. Air Force officer who became the first pilot to break the speed of sound, died Monday. He was 97.

NASA Administrator Jim Bridenstine called his death “a tremendous loss to our nation.”

“Gen. Yeager’s pioneering and innovative spirit advanced America’s abilities in the sky and set our nation’s dreams soaring into the jet age and the space age. He said, ‘You don’t concentrate on risks. You concentrate on results. No risk is too great to prevent the necessary job from getting done,’” Bridenstine said in a statement.

“In an age of media-made heroes, he is the real deal,” Edwards Air Force Base historian Jim Young said in August 2006 at the unveiling of a bronze statue of Yeager.

He was “the most righteous of all those with the right stuff,” said Maj. Gen. Curtis Bedke, commander of the Air Force Flight Test Center at Edwards.

His wife, Victoria, paid tribute on Twitter.

“An incredible life well lived, America’s greatest Pilot, & a legacy of strength, adventure, & patriotism will be remembered forever,” she wrote.

Oct. 14, 1947, Yeager became the first test pilot to break the sound barrier as he flew the experimental Bell XS-1 (later X-1) rocket plane over Muroc Dry Lake in California.

Yeager nicknamed the plane “Glamourous Glennis” after his wife.

“Sure, I was apprehensive,” he said in 1968. “When you’re fooling around with something you don’t know much about, there has to be apprehension. But you don’t let that affect your job.”

The modest Yeager said in 1947 he could have gone even faster had the plane carried more fuel. He said the ride “was nice, just like riding fast in a car.”

Yeager’s feat was kept top secret for about a year when the world thought the British had broken the sound barrier first.

“It wasn’t a matter of not having airplanes that would fly at speeds like this. It was a matter of keeping them from falling apart,” Yeager said.

Sixty-five years later to the minute, on Oct. 14, 2012, Yeager commemorated the feat, flying in the back seat of an F-15 Eagle as it broke the sound barrier at more than 30,000 feet above California’s Mojave Desert.

The pilot later commanded fighter squadrons in Germany and Southeast Asia during the Vietnam War and was promoted to brigadier general in 1969. He retired on March 1, 1975.

He became familiar to a younger generation 36 years later when the actor Sam Shepard portrayed him in the movie, “The Right Stuff,” based on the Tom Wolfe book. The book and movie centered on the daring test pilots of the space program’s early days.

Yeager himself even made a cameo as Fred, a bartender at Pancho’s Palace.

Yeager was born Feb. 23, 1923, in Myra, a tiny community on the Mud River deep in an Appalachian hollow about 40 miles southwest of Charleston. The family later moved to Hamlin, the county seat. His father was an oil and gas driller and a farmer.

“What really strikes me looking over all those years is how lucky I was, how lucky, for example, to have been born in 1923 and not 1963 so that I came of age just as aviation itself was entering the modern era,” Yeager said in a December 1985 speech at the Smithsonian Air and Space Museum.

“I was just a lucky kid who caught the right ride,” he said.

A hero of mine and a great technological feat.

Yeager enlisted in the Army Air Corps after graduating from high school in 1941. He later regretted that his lack of a college education prevented him from becoming an astronaut.

He started off as an aircraft mechanic and, despite becoming severely airsick during his first airplane ride, signed up for a program that allowed enlisted men to become pilots.

Yeager shot down 13 German planes on 64 missions during World War II, including five on a single mission. He was once shot down over German-held France but escaped with the help of French partisans.

After World War II, he became a test pilot beginning at Wright-Patterson Air Force Base in Dayton, Ohio.

Among the flights he made after breaking the sound barrier was one on Dec. 12. 1953, when he flew an X-1A to a record of more than 1,600 mph. He said he had gotten up at dawn that day and went hunting, bagging a goose before his flight. That night, he said, his family ate the goose for dinner.

He returned to combat during the Vietnam War, flying several missions a month in twin-engine B-57 Canberras making bombing and strafing runs over South Vietnam.

Yeager also commanded Air Force fighter squadrons and wings, and the Aerospace Research Pilot School for military astronauts.

“I’ve flown 341 types of military planes in every country in the world and logged about 18,000 hours,” he said in an interview in the January 2009 issue of Men’s Journal. “It might sound funny, but I’ve never owned an airplane in my life. If you’re willing to bleed, Uncle Sam will give you all the planes you want.”

When Yeager left Hamlin, he was already known as a daredevil. On later visits, he often buzzed the town.

“I live just down the street from his mother,” said Gene Brewer, retired publisher of the weekly Lincoln Journal. “One day I climbed up on my roof with my 8 mm camera when he flew overhead. I thought he was going to take me off the roof. You can see the treetops in the bottom of the pictures.”

Yeager flew an F-80 under a Charleston bridge at 450 mph on Oct. 10, 1948, according to newspaper accounts. When he was asked to repeat the feat for photographers, Yeager replied: “You should never strafe the same place twice ’cause the gunners will be waiting for you.”

Yeager never forgot his roots and West Virginia named bridges, schools and Charleston’s airport after him.

“My beginnings back in West Virginia tell who I am to this day,” Yeager wrote. “My accomplishments as a test pilot tell more about luck, happenstance and a person’s destiny. But the guy who broke the sound barrier was the kid who swam the Mud River with a swiped watermelon or shot the head off a squirrel before going to school.”

Yeager was awarded the Silver Star, the Distinguished Flying Cross, the Bronze Star, the Air Medal and the Purple Heart. President Harry S. Truman awarded him the Collier air trophy in December 1948 for his breaking the sound barrier. He also received the Presidential Medal of Freedom in 1985.

Yeager retired from the Air Force in 1975 and moved to a ranch in Cedar Ridge in Northern California where he continued working as a consultant to the Air Force and Northrop Corp. and became well known to younger generations as a television pitchman for automotive parts and heat pumps.

He married Glennis Dickhouse of Oroville, California, on Feb. 26, 1945. She died of ovarian cancer in December 1990. They had four children: Donald, Michael, Sharon and Susan.

Yeager married 45-year-old Victoria Scott D’Angelo in 2003.

With so many Americans suddenly unemployed due to COVID-19, a huge number of homeowners are unable to make their mortgage payments, forcing people to go into foreclosure. 

Governor Andrew M. Cuomo first announced a New York State moratorium on residential and commercial foreclosures on March 20, 2020 to ensure people were not evicted during the height of the pandemic. This comes after the federal Coronavirus Aid, Relief and Economic Security (CARES) Act was enacted for the purposes of relieving financial strain on Americans affected by COVID-19. On March 27, 2020 the CARES Act passed the House and was signed into law by President Donald J. Trump. 

Since the inception of the moratorium, there have been different levels and orders of the moratorium. Executive Order 202.8 barred the enforcement of any foreclosure proceeding until June 20, 2020. Executive Order 202.28 extended the moratorium on evictions and foreclosures to August 20, 2020, as long as the non-payment of mortgage is by “someone that is eligible for unemployment insurance or benefits under state or federal law or otherwise facing financial hardship due to the COVID-19 pandemic” (https://www.nycourts.gov/evictions/outside-nyc/, https://www.law.com/newyorklawjournal/2020/07/28/one-year-foreclosure-moratorium-law-proposed/?slreturn=20200824162050).   

Another moratorium was put into place on March 21, 2020, when Governor Cuomo issued Executive Order 202.9, which directs the Department of Financial Services to “ensure under reasonable and prudent circumstances that any licensed or regulated entities provide to any consumer in the State of New York an opportunity for the forbearance of payments for a mortgage for any person or entity facing a financial hardship due to the COVID-19 pandemic” (http://dmna.ny.gov/covid19/docs/all/EXEC_COVID19_ExecutiveOrder202.9_032120.pdf).

Forbearance Stops Coronavirus Foreclosure Countdown

When a foreclosure is already pending, the borrower is bound to partake in the mandatory settlement conference, even if they appeared at a prior settlement conference and the case was marked unsettled. As an alternative, the mortgagee can allow the borrower to participate in a forbearance agreement in accordance with the settlement conference statute. Forbearance effectively puts foreclosure on hold. If you have a federally backed mortgage, the CARES Act permits six months of mortgage forbearance —a reduction or suspension of your payments. If you qualify for mortgage forbearance under the CARES Act, you will eventually have to pay back any amount you were excused from paying during the forbearance period. The positive outcome is that the CARES Act forbids lenders from charging extra interest on those payments.

If you are unable to fully repay the amount at the end of the forbearance period, you should speak with a foreclosure attorney to discuss loss mitigation options. Your foreclosure attorney can arrange mortgage forbearance under provisions of the CARES Act so that the mortgage delinquency status is “frozen.” Forbearance is not automatic, so you or your attorney must contact your lender to arrange for mortgage forbearance under the CARES Act. During this time, the Covid-19 Foreclosure lawyer will research a forbearance agreement with the creditor to either discuss financing, returning the property, extending the term of the loan, or partial repayment throughout the life of the loan, which would result in increased monthly payments.

How COVID-19 Affected Foreclosures in New York State

COVID-19 foreclosure proceedings were unable to be initiated until the New York State courts reopened gradually on May 4, 2020, but the Chief Judge imposed a continuing Court stay of filing matters dealing with foreclosures. https://www.nycourts.gov/whatsnew/pdf/Foreclosures-Memo-July%2024.pdf 

There were many mature foreclosures in the pipelines when Covid-19 arrived that had already gone through years of litigation. Covid-19, lockdowns, layoffs, and the economic recession will add to that pipeline. New York legislators have made efforts to prevent a “shadow docket” and backlog of inactive foreclosure cases. After the housing crisis hit, many banks began filing foreclosure actions before they had the necessary documentation to support standing and other aspects of the claim. In 2013, New York passed CPLR § 3012-b, which required that banks that did not have physical copies of the required documents file a “Certificate of Merit” with the petition. Specifically, the law requires the following:

The complaint shall be accompanied by a certificate, signed by the attorney for the plaintiff, certifying that the attorney has reviewed the facts of the case and that,  based on consultation with representatives of the plaintiff identified in the certificate and the attorney’s review of pertinent documents, including the mortgage, security agreement and note or bond underlying the mortgage executed  by defendant and all instruments of assignment, if any, and any other instrument of indebtedness including any modification, extension, and consolidation to the best of such attorney’s knowledge, information and belief there is a reasonable basis for the commencement of such action and that the plaintiff is currently the creditor entitled to enforce rights under such documents. If not attached to the summons and complaint in the action, a copy of the mortgage, security agreement and note or bond underlying the mortgage executed by defendant and all instruments of assignment, if any, and any other instrument of indebtedness including any modification, extension, and consolidation shall be attached to the certificate.

This helped eliminate some delays due to documentation issues, while CPLR § 3408 required mandatory settlement conferences, as well as requirements for banks to act in good faith to help avoid delays.

While lawmakers tried to move foreclosures along as much as possible for both the sake of homeowners and the court system, many foreclosures fall inactive on court dockets. The question is: can plaintiffs restore inactive claims can the homeowner oppose restoration by showing that the action should be dismissed due to abandonment and/or lack of prosecution?

Dismissals for Abandonment or Lack of Prosecution

Laws regarding mandatory settlement conferences and foreclosure timelines apply when the homeowner answers the foreclosure complaint and is actively involved in the case. However, what happens when the homeowner/defendant does not file an answer or appear in court? The law states that the plaintiff has one year to seek a default judgment against the defendant. Under CPLR § 3215-c:

If the plaintiff fails to take proceedings for the entry of judgment within one year after the default, the court shall not enter judgment but shall dismiss the complaint as abandoned, without costs, upon its own initiative or on motion, unless sufficient cause is shown why the complaint should not be dismissed. A motion by the defendant under this subdivision does not constitute an appearance in the action.

If a plaintiff takes no action on the foreclosure for one year, the law requires that the court dismiss the complaint due to abandonment. Too often, however, if a defendant remains inactive and does not oppose the motion, the court may overlook a late motion for an order of reference, even if it was filed well after one year.

New York courts have also found that the plaintiff does not actually have to obtain the judgment within a year, but they simply have to take “proceedings” for entry of judgment. In State of New York Mortgage Agency v. Linkenberg, the court found that dismissal for abandonment was not proper because the bank filed a motion for an order of reference after the default, despite not obtaining a judgment. The court stated:
To avoid dismissal pursuant to CPLR 3215(c), it is not necessary for a plaintiff to actually obtain a default judgment within one year of the default (see HSBC Bank United States, N.A. v. Traore, 139 A.D.3d 1009, 1010, 32 N.Y.S.3d 283; Aurora Loan Servs. LLC v. Gross, 139 A.D.3d 772, 773, 32 N.Y.S.3d 249; US Bank N.A. v. Dorestant, 131 A.D.3d 467, 469, 15 N.Y.S.3d 142; Wells Fargo Bank, N.A. v. Combs, 128 A.D.3d 812, 813, 10 N.Y.S.3d 121). Nor is a plaintiff required to specifically seek the entry of a judgment within one year. As long as “proceedings” are being taken, and these proceedings manifest an intent not to abandon the case but to seek a judgment, the case should not be subject to dismissal (see Aurora Loan Servs. LLC v. Gross, 139 A.D.3d at 773, 32 N.Y.S.3d 249; US Bank v. Dorestant, 131 A.D.3d at 469, 15 N.Y.S.3d 142). Taking the preliminary step toward obtaining a default judgment of foreclosure and sale by moving for an order of reference within one year of the defendant’s default is sufficient to timely initiate proceedings for entry of judgment pursuant to CPLR 3215(c).

A case may also be dismissed as abandoned under CPLR § 3404, which states that “A case in the supreme court or a county court marked “off” or struck from the calendar or unanswered on a clerk’s calendar call, and not restored within one year thereafter, shall be deemed abandoned and shall be dismissed.”

Cases dismissed under 3404 can often easily be restored by the plaintiffs. Generally speaking, within a year of the marking off and before the automatic dismissal, a plaintiff may restore the case merely by requesting restoration. After the dismissal, the plaintiff may seek restoration, but New York courts require that “the plaintiff must demonstrate (1) a reasonable excuse for the failure to timely restore; (2) a meritorious cause of action; (3) a lack of intent to abandon the matter; and (4) a lack of prejudice to the opposing party.” Basetti v. Nour, 287 AD2d 126, 135 [2d Dept 2001].

If the court dismissed the action under CPLR § 3215 (c) for not seeking a default judgment, the plaintiff may be able to refile the action within six months under New York’s Savings Provision, Civil Practice Law and Rules (CVP) § 205.

Another reason a defendant may seek to dismiss an inactive foreclosure is for want of prosecution under CPLR § 3216, which applies “Where a party unreasonably neglects to proceed generally in an action or otherwise delays in the prosecution thereof.” In order to succeed in the type of dismissal, one year must have elapsed since the joinder of the issue, the defendant served a written demand to resume prosecution of the issue within 90 days, and defendant demonstrates that the plaintiff failed to act for 90 days after receiving the demand. Unlike dismissals for abandonment, if the court cites reasons for the neglect of prosecution, the plaintiff cannot use the Savings Provision to later restore the action.
However, courts have significant discretion in whether to dismiss an action under 3216, as shown in New York appellate court rulings such as Davis v. Goodsell, 6 AD 3d 382 – NY: Appellate Div., 2nd Dept. 2004:

CPLR 3216 is, by its terms, “extremely forgiving” in that it never requires, but merely authorizes, the Supreme Court to dismiss a plaintiff’s action based on the plaintiff’s unreasonable neglect to proceed (CPLR 3216 [a], [e]; Baczkowski v Collins Constr. Co., 89 NY2d 499, 503-505 [1997]; see Di Simone v Good Samaritan Hosp., 100 NY2d 632 [2003]). While the statute prohibits the Supreme Court from dismissing an action based on neglect to proceed whenever the plaintiff has shown a justifiable excuse for his or her delay, and a meritorious cause of action (see CPLR 3216 [e]; Di Simone v Good Samaritan Hosp., supra) such a dual showing is not strictly necessary in order for the plaintiff to escape such a dismissal (see Baczkowski v Collins Constr. Co., supra at 503-505).
